Blue Roco provides access to a global network of independent artists and creative professionals ("Artists") specializing in emerging technologies. Our Site provides information about our services, showcases portfolio work, and offers a means for potential clients ("Clients") to contact us.
These Terms govern your use of the Site. All professional services engaged by Clients are governed exclusively by a separate, written "Project Agreement" or "Statement of Work" (SOW), which will detail the scope, fees, deliverables, and specific terms of the engagement. Any proposals or quotes provided through this Site are for informational purposes only and are not binding until a formal SOW is executed by both parties.

1. Intellectual Property Rights
   Unless otherwise indicated, the Site itself and all content and materials on it, including the Blue Roco logo, all designs, text, graphics, pictures, information, data, software, and the selection and arrangement thereof (collectively, the "Site Content") are the proprietary property of Blue Roco or our licensors (including our Network Artists) and are protected by U.S. and international copyright, trademark, and other intellectual property laws.
   You are granted a limited, non-sublicensable license to access and use the Site and Site Content for your informational, non-commercial, and personal use only. This license does not include:
   (a) any resale or commercial use of the Site or the Site Content;
   (b) the distribution, public performance, or public display of any Site Content;
   (c) modifying or otherwise making any derivative uses of the Site and the Site Content;
   (d) using any data mining, robots, or similar data gathering or extraction methods;
   (e) downloading (other than page caching) any portion of the Site or Site Content, except as expressly permitted.
   
   

2. User Conduct and Prohibited Activities
   You agree that you will not violate any law, contract, intellectual property, or other third-party right or commit a tort, and that you are solely responsible for your conduct while on the Site. You agree that you will not:
   Use the Site in any manner that could interfere with, disrupt, negatively affect, or inhibit other users from fully enjoying the Site;
   Use any robot, spider, crawler, scraper, or other automated means or interface not provided by us to access the Site or to extract data;
   Attempt to reverse engineer any aspect of the Site or do anything that might discover source code;
   Use the Site for any illegal or unauthorized purpose or engage in, encourage, or promote any illegal activity.

   The Site may contain links to third-party websites, social media platforms, or resources (e.g., links to our Artists' personal portfolios). You acknowledge and agree that Blue Roco is not responsible or liable for the availability or accuracy of such websites or resources, or the content, products, or services on or available from them. Links to such websites do not imply any endorsement by Blue Roco.
   
   

4. Disclaimers
   The Site and the Site Content are provided on an "as is" and "as available" basis without warranties of any kind, either express or implied. Blue Roco disclaims all warranties, express or implied, including, without limitation, implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not represent or warrant that the Site Content is accurate, complete, reliable, current, or error-free. Blue Roco operates as a curated network. The artists within our network are independent contractors, not employees or agents of Blue Roco. While we curate and vet our artists, we make no warranty or guarantee regarding the quality, reliability, or outcome of their services. All project-specific warranties and guarantees will be outlined in the separate SOW.
   
   

5. Limitation of Liability
   In no event shall Blue Roco, its directors, members, employees, or agents be liable for any direct, special, indirect, or consequential damages, or any other damages of any kind, including but not limited to loss of use, loss of profits, or loss of data, arising out of or in any way connected with the use of or inability to use the Site or the Site Content. Our total aggregate liability to you for any claims arising from your use of the Site is limited to the greater of (a) any compensation you paid, if any, to us for access to or use of the Site, or (b) one hundred dollars ($100.00 USD).
   
   

6. Indemnification
   You agree to defend, indemnify, and hold harmless Blue Roco, its officers, agents, partners, and employees from and against any claims, damages, costs, liabilities, and expenses (including, but not limited to, reasonable attorneys' fees) arising out of or related to your use of the Site or your violation of these Terms.
   
   

7. Governing Law and Dispute Resolution
   These Terms and your use of the Site shall be governed by and construed in accordance with the laws of the State of Michigan, USA, without regard to its conflict of law principles.
   You agree that any dispute, claim, or controversy arising out of or relating to these Terms shall be determined by binding arbitration in Detroit, Michigan, USA. The arbitration shall be administered by [e.g., the American Arbitration Association (AAA)] in accordance with its Commercial Arbitration Rules. The language of the arbitration shall be English. This clause does not preclude parties from seeking provisional remedies in aid of arbitration from a court of appropriate jurisdiction.
   
   

8. Termination
   We reserve the right, without notice and in our sole discretion, to terminate your license to use the Site and to block or prevent your future access to and use of the Site.
   
   

9. Miscellaneous
   Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and Blue Roco regarding the use of the Site.
   Severability: If any provision of these Terms is deemed unlawful, void, or for any reason unenforceable, then that provision shall be deemed severable from these Terms and shall not affect the validity and enforceability of any remaining provisions.
   Changes to Terms: We reserve the right to modify these Terms at any time. We will post the revised Terms on the Site and update the "Last Updated" date. We encourage you to review the Terms frequently.
